1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the EasyPlanus property-management platform and related services (the "Services"), provided by AltairVL LLC, operating the service under the name EasyPlanus ("EasyPlanus," "we," "us," or "our").

By accessing or using the Services — including by accepting an invitation, creating an account, or otherwise using the platform — you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.

2. The Services

EasyPlanus provides software for managing properties and related operations, which may include managing property records; inviting and managing users in roles such as office staff, owner, tenant, and technician; and related functionality. We may add, modify, or remove features over time.

The Services are currently provided on an invitation-only basis. Account creation requires a valid invitation from an authorized administrator.

3. Accounts, invitations, and security

Eligibility. You must be at least 18 years old and capable of forming a binding contract to use the Services.
Invitations. Users are added by invitation from an authorized administrator within an organization. The role assigned to you (for example, office staff, owner, tenant, technician) determines your permissions.
Account information. You agree to provide accurate, current, and complete information during onboarding and to keep it updated.
Credentials. You are responsible for maintaining the confidentiality of your password and for all activity under your account. Notify us promptly at support@easyplanus.com if you suspect unauthorized use.
Password requirements. Accounts are subject to minimum password-strength requirements and protection against known compromised passwords.

4. Acceptable use

You agree not to:

Use the Services in violation of any applicable law or regulation;
Upload, store, or transmit content that is unlawful, infringing, defamatory, or that violates the rights of others;
Access or attempt to access accounts, data, or systems you are not authorized to access;
Interfere with, disrupt, or compromise the integrity or security of the Services;
Reverse-engineer, decompile, or attempt to extract source code from the Services, except to the extent permitted by law;
Use the Services to send spam or unsolicited communications;
Misuse the platform to store special categories of sensitive personal data outside the intended use of the Services; or
Use automated means to access the Services in a manner that imposes an unreasonable load on our infrastructure.

We may suspend or terminate access for violations of this Section.

5. Your content and data

Ownership. As between you and EasyPlanus, you (or your organization) retain ownership of the data and content you submit to the Services ("Customer Data").
License to operate. You grant us a limited license to host, process, transmit, and display Customer Data solely as necessary to provide and maintain the Services, to support you, and as otherwise permitted by these Terms and the Privacy Policy.
Responsibility for data. You are responsible for the accuracy, legality, and appropriateness of Customer Data, and for ensuring you have the rights and any necessary consents to provide it — including data about owners, tenants, technicians, or other third parties.
Organization data. Where you use the Services as part of an organization, the organization controls its Customer Data and is responsible for managing user access within it.

6. Third-party services

The Services rely on third-party providers (including hosting, authentication, database, email-delivery, and — where applicable — payment-processing providers). Your use of the Services may be subject to those providers' terms. We are not responsible for third-party services outside our control.

7. Fees and payment (where applicable)

Certain features or plans may require payment. Where fees apply, the applicable pricing and payment terms will be presented to you. Unless stated otherwise, fees are non-refundable except as required by law. We may change fees on prospective notice. (Billing may not be active during the current pilot phase; this Section governs fees if and when they apply.)

8. Intellectual property

The Services, including all software, design, text, graphics, and other materials provided by us (excluding Customer Data), are owned by AltairVL LLC or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. The EasyPlanus name and logo are our marks; you may not use them without permission.

9. Confidentiality

Each party may have access to information that is confidential to the other. Each party agrees to protect the other's confidential information and to use it only as necessary to perform under these Terms. This obligation does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED. YOU USE THE SERVICES AT YOUR OWN RISK.

EasyPlanus is a software tool and does not provide legal, financial, real-estate, tax, or other professional advice. You are responsible for your own compliance with laws applicable to your property-management activities.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AltairVL LLC (OPERATING AS EasyPlanus), ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless AltairVL LLC (operating as EasyPlanus) and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your Customer Data, or your violation of these Terms or applicable law.

13. Suspension and termination

You may stop using the Services at any time.
We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Services or other users.
Upon termination, your right to use the Services ceases. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
Following termination, we will handle Customer Data as described in the Privacy Policy and applicable law; organizations may request export or deletion of their data subject to reasonable limitations.

14. Changes to the Services and Terms

We may modify the Services or these Terms from time to time. When we make material changes to these Terms, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Pasco, Florida, and you consent to personal jurisdiction there. (If arbitration or another dispute-resolution mechanism is preferred, this Section should be revised by counsel.)

16. Miscellaneous

Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Services.
Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
No waiver. Our failure to enforce any right or provision is not a waiver.
Assignment. You may not assign these Terms without our consent. We may assign these Terms, including to a successor entity (such as a future EasyPlanus LLC) in connection with a business transfer.
Relationship. Nothing in these Terms creates a partnership, agency, or employment relationship.
